Well I think it would depend on where your draft pick is also. I think that you need to definitely need to rebuild, but I would go with AJ for Smith and 1.2 first and see what he counters with. I'm not a big fan of trading away a player in his prime, but to get a starting rb and another starting rb / wr through the draft you may have to do this. I would also look to make some offers to other teams and stockpile draft picks to rebuild. If he would go for just AJ I would then look to move McNabb or Schaub for young players or picks also. Good luck.
p.s. Niners fan here also, love Singeltary and the direction of the team.
Nah, I'd pass on that. It's not a given that Crabtree will just step in an produce on an elite level, and this trade would leave you woefully thin at WR (and pretty thin at QB too). I like the idea of getting a young RB like Smith (but he comes with a lot of inherent risk as well, since he's unproven and playing for DET), and getting one of the top-3 picks would be nice, but Jamal and Smith don't really help your team (since you already have a couple of aging RBs and lower-tier WRs), so I just don't care for the overall value of this trade. I'd be willing to consider this offer if you could get a better WR in return instead of the Jamal/S.Smith throw-in combo. Any way you could post the other owner's roster so that we could try to help you come up with a counter-offer?

McGahee should be ok. You do have both Choice and Washington (sleeper alerts) You have two nice handcuffs if things stay the same here. I'd cut Kevin Faulk and BGE for something elsewhere. Dunn I think might retire...I might cut him also. I'd just take really young prospects instead. I'd also cut Malcolm Floyd, he's a secondary option on his team and he's got some serious age on him.
You have two quality QBs and TEs so your set there. Coles and Ward are getting age on them also and you could use another young WR. I wouldn't trade AJ unless you get the farm for him.
Your WR core looks solid for the next 2 years.
You have some cuts to make. I'd rather take leftover rookies or unused rookies from last year's draft or other solid handcuffs or something....
Cut these players (and if you can pick anyone up post the ww, in fact post ww anyway): 1) Floyd 2) Faulk 3) BGE (just too many options I would stay away. Jordan and Morris both are bakc, plus they might go after a RB in FA or the draft....) 4) Dunn (might keep him if you cannot take anything else) But those first 3 are sure-fire cuts.
