Here's my roster 12 Team no ppr standard yahoo:
Scoring exceptions are QB 20 yds pass = 1, Passing TD's = 3 (Start 1 qb, 2 rb, 2 wr, 1 wr/rb, 1 te, 1 k 1 def)

QB: Brady, Edwards
RB: Forte, Lynch, Parker, Rice, J.Jones
WR: Jennings, Ocho Cinco, Holt, Hester, Bennett
TE: V.Davis, Z.Miller
DEF: Green Bay
K: (EMPTY)

I need to make a spot for a kicker & was thinking of picking up Carney (NO) off FA if I could open up a spot. I made this trade initially:

MY Lynch, Holt, and Z. Miller FOR His Witten, DeSean Jackson

He countered with : MY Lynch, Holt, Z.Miller FOR Witten, Breaston, N. Folk

.... So he replaced Breaston and Folk instead of D.Jackson

All 4 of My RB's are 1st stringers and all except Lynch have excellent Running Schedules (Strength of Run D Schedule ranked 1-32 for RB: JJ#1, Rice #3, Forte #8, Parker #9, Lynch #27)
I like Lynch but I think I'm deep enough to give myself a boost at WR and TE (Z.Miller #1 Tight end Strength of Schedule)

Thing is I need to clear a spot for a kicker somehow and though I am skeptical about this one it still might be a good improvement. He has Carlson as back up TE and is thin at RB.
His RB's: Gore, L. Johnson, D. Brown, Jamaal Charles
His WR's: A.Johnson, T.Owens, D.Jackson, S.Breaston

Do I win or Lose if I accept. I get a Big Upgrade at TE, but lose my #2 RB though I have good depth there. And I think the WR3 is a slight improvement and I get a decent kicker (though I don't really care that much about the kicker position other than Having one...... or I'd have drafted one in the first place)

I don't think that helps your team that much for how much you are giving up... In my opinion just drop vernon davis. He is yet to show that he can be a productive TE not to mention it is a waste to carry 2 TEs.

I wouldn't do it. Witten is a big upgrade over Miller, the 2 wideouts are a wash, and youre throwing away lynch who should be good when hes back for an ok kicker. So it's pretty much Lynch/Miller for Witten.. like the guy above me said you could drop Davis for a kicker, who could be better than Folk.

I second what the guys above me said. Vernon Davis has been a bust so far in his career. It seems like Davis and Mike Singeltary have had problems getting along as well. I don't think this trade it helps you a lot. I like your receiver depth. I say just get rid of Davis and pick up a waiver wire kicker. Just DO NOT get Carney. He is just a replacement kicker until their current one comes back from suspension on week 5.

If you have the time can you help me with mine?

I like Carney vs. Detroit in week 1 as long as you don't have a transaction limit
