PPR Trade: LT, Benson, Marshall for Wayne, Harvin, Jones &

Sorry, ran out of room in the title, but here's the trade being offered me (12-team league, 1 PPR, else is standard scoring):

My: LT, Benson, & Marshall

His: Wayne, Harvin, J. Jones, Rice

My team currently:
QB: Schaub
RB: LT, CJ4.24, Benson, J. Stewart
WR: Welker, Royal, Marshall, Walter, Hess
TE: Carlson, Keller
K: Kaeding
Def: Bears

I'm not a huge fan of the trade, given that I'm losing two premier backs for some time-shares. However, I really would like another good receiving option, and both Wayne and Harvin are upgrades.

I'm thinking maybe I should counter with LT + Marshall for Wayne + J. Jones (I'm almost positive he'd be unwilling to give up Rice with this trade)...? At least that way, I've got Benson to help hold me over at RB. And getting both Harvin and Wayne seems like overkill, unless Welker and/or Walter are out for the season.
