Then Mathews makes it interesting. It gets you the RB2 you are in need of but Turner just came out saying that it will be RBBC in San Diego this year. I didn't uy Matthews last year and I still don't, apparently neither does Norm. The offer is fair and if you think Matthews will put up some decent numbers I would take the deal.

For me personally, I would probably stand pat for now and see how Daniels performs. The other option is to shop Wayne and see what RB you can get in a straight up deal.

I would decline the trade.
The quarterbacks in this trade are very close but since Eli would become a backup on your team its of negligible significance.
Mike Thomas is a significant downgrade from Reggie Wayne. I think the downgrade from Wayne to Thomas is bigger than the upgrade from Charles to Peterson. Charles has the potential for an even greater year than we project him this year. He surprised us in 2009 and then clearly outperformed expectations in 2010 so I think he might get even better this year. Thomas Jones is getting old and Charles emerging as the clear workhorse is going to happen either this year or next.
The thing is, I like Daniel Thomas and Ryan Williams enough as backups that I don't think you need to trade to get two players, Mike Thomas and Mathews, to fulfil that same role for you. Mathews has injury problems and the hamstring is still bothering him and he clearly doesn't have the work ethic to become a star in this league as he failed simple conditioning tests last week. This will devalue him both in terms of ability but also in how the coaches perceive him. He hasn't proved anything in the NFL other than one week against the TERRIBLE Broncos D and I don't think he's a good #2
10 points separate Charles and Peterson last year when I think Charles has the potential to be the top back in fantasy while the difference between Wayne and Thomas is 60 points.
Considering that I don't think you need any more backup flex options I think this trade is a clear no.
