Rice is a beast and he is my favorite FF player by far in PPR formats. However, you are getting excellent value in return. I would probably take this deal if I were you as I trust Cruz and Graham to score more consistently than Maclin and Davis.

You'd be giving up a bit with the loss of Rice over Mccoy who's been a dissapointment, but would still take it.

My last thought would be to add Garçon to my original offer.

The other option is to stay put. Here is my team:

Qb - Vick/dalton
Wr - white/macklin/Moore/garçon
Rb - rice/Reggie bush/Murray/Stewart/Tate
Te - Davis/pettigrew

I don't like either of the counters. The key to that deal was upgrading to Cruz, since the gap between Cruz and Maclin is bigger than the gap between Rice and McCoy. I'd stay put unless you can get him to bring Cruz back into the deal. Good luck!
